Terms and Conditions of Service

This Agreement is between you and ShowIT Solutions, LLC, (“ShowIT Solutions”, “ShowIT”, “we”, “us” and “our”) and describes the terms and conditions of service (“Terms ,” or “Agreement ”) applicable to your use of our services at www.showitsolutions.com or downloading the ShowIT Solutions mobile application (including all the areas available through such website or application, collectively, the “Site”  or “App”), and/or by creating an account and using the various services contained therein (collectively, such services, including any new features and applications, together with the Site, the “Services ”) offered by ShowIT Solutions. You also agree to all other operating rules, policies, and procedures that may be published on the Services by ShowIT Solutions which are incorporated by reference.

1. Acceptance of Terms.

You agree that by accessing the Site or App, or by utilizing the ShowIT Solutions Services you agree to be bound by the Terms and Conditions as are in effect at such time and by clicking “Accept” below constitutes your electronic signature to this Agreement, which is a binding contract, and that you are bound to it the same as if you had hand-signed this agreement in ink.   You further agree that you have read and understand this agreement and that you are of legal age and have the capacity to enter into a binding agreement.  If you do not agree to be bound by these terms you may not use ShowIT Solutions Services or the App

Expressly incorporated into this Agreement are the ShowIT Solutions: 1)  Privacy Policy located at https://www.showit.com/privacy-policy (“Privacy Policy”), Cancellation Policy located at https://www.showit.com/cancellation-policy (“Cancellation Policy”), and Brokerage and Licensee Consent addendum located at https://www.showit.com/Georgia-Addendum (“Brokerage Addendum”). By accepting this Agreement you agree to that you have read and agree to be bound by such policies and addendums as part of this Agreement.  

2. Modification to Terms.

We may amend this Agreement at any time; changes or amendments will be posted at the Site and be considered effective upon posting.  From time-to-time ShowIT Services may issue certain promotions or incentives subject to separate terms and conditions.  Such separate terms and conditions will be provided in writing at the time of the promotion or inventive. 

3. Collection and Use of Your Information

Your Information includes any information you provide, publish or post to or through the ShowIT Solutions Platform  or send to other  members (your “Information”). You consent to us using your Information to create a member account that will allow you to use the ShowIT Solutions Platform and participate in the ShowIT Solutions Services. Our collection and use of personal information is further governed by the ShowIT Solutions Privacy Policy. You agree to provide and maintain accurate, current and complete information, including a professional headshot or similar photograph of yourself,  and that we and other ShowIT Solutions registered members may rely on To enable ShowIT Solutions to use your Information for the purposes described herein, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sub-licensable right and license to exercise the copyright, publicity, and database rights you have in your Information, and to use, copy, perform, display and distribute such Information to prepare derivative works, or incorporate into other works, such Information, in any media now known or not currently known.

You acknowledge that ShowIT Solutions may use automatic means to collect information about your devices and about your use of the Services.   All such information ShowIT Solutions collect through or in connection with the Services is subject to the Privacy Policy.   ShowIT Solutions reserves the right to track your location through your mobile device while performing a job/task under ShowIT Solutions platform, for the purpose of verifying location, time, and arrival.  You acknowledge and consent to your Information, or information otherwise obtained by ShowIT Solution relative to the Services or your App use, including image information, being transmitted from your device to ShowIT Solutions or another third party. 

4. Communication

By entering into this Agreement or using the ShowIT Solutions Platform, you agree to receive communications from us, or our affiliates, including via e-mail, text message, calls, and push notifications. You agree that texts, calls or prerecorded messages may be generated by automatic telephone dialing systems.  You may opt out of promotional emails by unsubscribing to such.  You may not opt out of operational or transactional communications regarding the ShowIT Services. 

Use of the Services may involve transmission of data through your carrier or service provider’s network. You are responsible for all such fees and ShowIT Solutions assumes no liability or responsibility for the payment of any charges you may incur.

 

5. Availability of the Services.

ShowIT Solutions does not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control.  ShowIT Solutions may limit access, via technological means, to Services in the Excluded Locations.   You hereby agree that ShowIT Solutions cannot be held liable if laws applicable to you restrict or prohibit your participation.

6. Eligibility for Account.

The ShowIT Solutions Services and Platform may only be used by: 1) licensed real estate agents and Brokers who have the right and authority to enter into this Agreement and are fully able and competent to satisfy the terms, conditions, and obligations herein, and 2) third-party vendors who have the right and authority to enter into this Agreement and are fully able and competent to satisfy the terms, conditions, and obligations herein. To use the ShowIT Solutions Services, each member must create a member account.  Each member may only create one account.  ShowIT Solutions reserves the rights to temporarily or permanently deactivated member accounts for any reason, and such members with deactivated accounts have no right to access the ShowIT Solution Services.  Members may not allow persons other than themselves to use its member account, and agree that member is the sole authorized owner of its account. 

7. Conditions for Usage

Members who are Real Estate Licensees and Brokers must adhere to the following:

(a) Maintaining an active real estate license in good standing pursuant to the laws of the state you are licensed in;              

(b) Abiding by all local, state and federal laws and the Rules and Regulations of your state Real Estate Commission;

(c) Real estate licensees who are affiliated with one brokerage to provide support personnel services to another brokerage and its affiliated licensees., with Agent adhering to all aspects/components of their Independent Contractor Agreement (ICA) with their specific Brokerage;

(d) Indemnify and hold harmless the Brokerage and the Broker from any and all claims, damages and

liabilities, including attorneys’ fees, arising from the intentional or negligent acts of the Agent or acts outside the scope of the Brokerage-Associate’s authority;

(e) Abide by all policies and procedures as outlined in their specific Brokerage Policies and The National Association of Realtors Code of Ethics and Professional Standards;

(f)  Allowing ShowIT Solutions to use Member’s name, testimonial, picture, or description in its training materials, advertising and other publications. In the event the member is no longer registered with ShowIT Solutions, ShowIT Solutions is still authorized to use the Member’s name, testimonial, picture, or description in its training materials, advertising and other publications;

(g) Attending ShowIT Solutions training programs as the Brokerage may present to familiarize Agent with the ShowIT Solutions platform and among other things, the Terms of Service of the Brokerage pertaining to ShowIT Solutions, sales and marketing information, and current developments in ShowIT Solutions;

(h) In your role as Support Personnel you may have access to Member’s customers, clients, and prospective customers and clients of Member.  You agree that you will not solicit any of Member’s customers, clients, or prospective customers or clients, with whom you have any contact, for the provision of real estate services other than on behalf of the Member.  This prohibition is in effect whenever you are engaged by a Member, and runs for a period of 12 months after the termination of each such engagement. Each Member with whom are engaged is expressly made a third-party beneficiary to this Agreement for the purposes of allowing them to enforce this provision.

(i) When ShowIT Solutions Members are contacted by the client of another ShowIT Solutions member regarding the creation of an exclusive relationship to provide the same type of service, and Member has not directly or indirectly initiated such discussions, they may discuss the terms upon which they might enter into a future agreement or, alternatively, may enter into an agreement which becomes effective upon expiration of any existing exclusive agreement;

(j) ShowIT Solutions member shall not use information obtained from the use of ShowIT Solutions Platform to solicit buyers and/or listings without the express consent of the Hiring member;

(k) in the event you are not a qualifying broker and your qualifying broker has not yet provided written authorization for you to provide Services on the ShowIT Solutions App, you agree that you have secured any necessary brokerage permission to provide Services on the ShowIT Solutions App and that ShowIT Solutions may contact your qualifying broker to confirm the same.  You further agree that in the event of any conflict regarding ShowIT Solutions App or Services thereunder between you and your qualifying broker or brokerage, that you will resolve such conflict with your qualifying broker and release and hold ShowIT Solutions harmless from any damages regarding the same. 

Members who are third-party vendors must adhere to the following:

(a) You are at least of the legally required age in the jurisdiction in which you reside), and are otherwise capable of entering into binding contracts 

(b) You have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement, and that you will so abide

(c) You will maintain any required trade license for the work that you perform and keep such licenses in good standing pursuant to the laws of the state you are licensed in;                                                                                             

(d) You will abide by all local, state and federal laws and the Rules and Regulations of your trade and profession and act in good faith;

(e) You will act professionally and responsibly in your interactions with other users of the ShowIT Solutions Platform and App;

(f) You will use your real name or business name on your profile 

(g) Allowing ShowIT Solutions to use Member’s name, testimonial, picture, or description in its training materials, advertising and other publications. In the event the member is no longer registered with ShowIT Solutions, ShowIT Solutions is still authorized to use the Member’s name, testimonial, picture, or description in its training materials, advertising and other publications;

(h) You are responsible for identifying and obtaining any required licenses, permits, or registrations before offering services and entering any agreements to perform work for users or user’s clients of the ShowIT Solutions Platform or App.

(i) You will only offer and provide services for which you have the necessary skills and expertise, and provide those services safely and in accordance with all applicable laws

(j) you have any and all insurance required to operate your business and provide services to users and user’s clients of the ShowIT Solutions Platform and App. 

(k) you acknowledge that you are an independent contractor and not an employee of ShowIT Solutions or its user’s or user’s clients.

8. Rules and Conduct.

As a condition of use, the member shall not use the ShowIT Solutions platform and Services for any purpose that is prohibited by the Terms or law.  The member agrees to abide by all International, Federal, State, Municipal, Local and applicable Associations rules and regulations.  You are responsible for all your activities and the consequences of your actions in connection with the Services. You further agree that you will not:

(a) copy the Services;

(b) sell or otherwise transfer your Account;

(c) copy, monitor, modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Site, App or Services;

(d) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Site or App or any part thereof;

(e) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Site or App, including any copy thereof;

(f) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Site or App, or any features or functionality of the Site or App, to any third party for any reason;

(g) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Site or App;

(h) use their account to impersonate any person, or misrepresent your identity or affiliation with any person or organization;

(i) engage in conducts as determined by ShowIT Solutions, may harm ShowIT Solutions or members of the Site or App or expose them to liability;

(j) engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site or App;

(k)use the Site or App in any manner that could disable, overburden, damage, or impair the Site or App, or interfere with any other party’s use of the Site or App, including their ability to engage in real time activities through the Site or App;

(l) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site or App, the server on which any portion of the Site or App is stored, or any server, computer, or database connected to the Site or App;

(m) use any electronic device, software or process to monitor or copy our web pages or the content contained herein without our prior expressed written permission;

(n) use any electronic device, software or process to interfere or attempt to interfere with the proper working of this site or any activities conducted on our site;

(o) take any action that imposes an unreasonable or disproportionately large load on our infrastructure. 

(p) attempt to interfere with the proper working of the Site, App, or services.

If you violate these terms, or ShowIT Solutions, for any reason, suspects that you have violated these terms, it may investigate, terminate your membership, and/or take legal action as necessary including bringing a lawsuit for damages caused by the violation.

9. Payments

Payments will be made by the end of next business day following the conclusion of each activity.
You acknowledge and agree that should ShowIT Solutions, in our sole and absolute discretion, determine that you did not comply with and or adhere to the Terms, in any way, you agree to cooperate with our efforts to reverse payments.
All monetary payments will be made directly into your wallet. It is in the member’s discretion when to transfer the money from the wallet to their bank account through Stripe. Any amounts that are mistakenly credited to your wallet will automatically be transferred from your wallet to their rightful owner, upon confirmation of the error. Any payments mistakenly credited to your wallet that have been withdrawn by you before confirmation of the error will constitute a debt owed by you to the rightful owner.
All payments are final. No refunds will be issued. All Charges are non-refundable. 

All Charges and payment shall only be made through ShowIT Solutions platform and are facilitated through a third-party payment processor. ShowIT Solutions may replace its third-party payment processor without notice to you. You irrevocably authorize ShowIT Solutions, as necessary, to instruct such third party payment processors to handle payments and you irrevocably agree that ShowIT Solutions may give such instructions on your behalf in accordance with your requests as submitted through the Services. You agree to be bound by the terms and conditions of each applicable third party payment processor, and in the event of a conflict between these Terms and the third party payment processors’ terms and conditions, then these Terms shall prevail. You further agree that ShowIT Solutions is not liable for any loss caused by any unauthorized use of your credit card or other method of payment by a third party in connection with your use of the Services.

Upon addition of a new payment method or each Service request, ShowIT Solutions may seek authorization of your selected payment method to verify the payment method, ensure the Service cost will be covered, and protect against unauthorized behavior. The authorization is not a charge, however, it may reduce your available credit by the authorization amount for the next 7 business days. Should the amount of our authorization exceed the total funds on deposit in your account, your charge will be declined, and the posted job will be rejected. 

10. Updates for Mobile Device App.

ShowIT Solutions may from time to time develop and provide App updates or upgrades.   You agree that all updates and upgrades will be subject to this Agreement.  Such updates and upgrades may modify or delete certain features and functionality and you agree that ShowIT Solutions has no obligation to provide updates or upgrades that continue to provide or enable any particular features or functionality.  you further agree to promptly download and install all updates and upgrades and acknowledge and agree that the App or portions thereof may not properly operate should you fail to do so. 

11. Term and Termination.

The term of Agreement starts upon your agreement to use ShowIT Solutions by using the Site, App or Services and shall continue until you or ShowIT Solutions terminate the term.  ShowIT Solutions, in its sole discretion, may disqualify you from utilizing ShowIT Solutions platform and  services, terminate this agreement, refuse to award payment and require the return of any payment, or suspend, limit, or terminate your account if you engage in conduct ShowIT Solutions deems, in its sole discretion, to be improper, unfair, fraudulent or otherwise adverse to the operation of the Service or in any way detrimental to other members or a breach of this agreement.  If your account is cancelled, ShowIT Solutions reserves the right to remove your account information along with any account settings from our servers with no liability or notice to you. Once your account information and account settings are removed, you will not be able to recover this data and you will lose access to all of your content. Termination will not limit any of ShowIT Solutions rights or remedies at law or in equity.

You may cancel your account at any time in writing. 

12. Advertisements and Third-Party Sites.

The Site, App or Services may contain third party advertisements and/or sponsorships.   ShowIT Solutions makes no guaranty of the accuracy of such advertisements and/or sponsorships and is not responsible for the acts or omissions of any sponsor or advertiser.  You agree that you will use or rely on such third parties and their associated websites at your own risk. 

13. Third-Party Vendor Usage

As part of the Services ShowIT Solutions allows third party vendors to purchase leads to ShowIT Solution’s users, or user’s clients, that have expressed a need for such third-party vendor’s services.  

By Real Estate Licensees and Brokers: As part of the Services, you may have the opportunity through the App to contact and engage third-party vendors to perform work or services.   ShowIT Solutions makes no representation or warranty on the quality or necessity of such work or services, and you acknowledge that there are other third parties that can provide the same services as those identified through the App.  Should you elect to engage such third-party you must enter a separate agreement directly with such third-party for the work or services you desire.  You acknowledge that ShowIt Solutions is not party to such agreement with the third-party and that ShowIT Solutions has no obligations to you under such agreement.  You acknowledge that ShowIT Solutions is not a licensed general contractor and does not have special expertise to determine if any work performed by third-party vendors has been performed in accordance with building code requirements or building industry standards. You acknowledge that ShowIT Solutions is not responsible for any damage, defective work, or non-performance by any third-party related to the Services or App.   You acknowledge the ShowIT Solutions may receive a financial benefit from your decision to engage a third-party vendor through the App. 

By Third Party Vendors:  If you are a third-party vendor who is not a Real Estate Licensee and Broker, you agree to be bound by this Agreement, as applicable.  You further acknowledge that ShowIT Solutions is not party to any agreement that you enter with any user, or user’s client, of App or as part of the Services, and that ShowIT Solutions has no obligations to you under any such agreement.  You further agree that ShowIT Solutions does not guarantee performance of user, or user’s client to you, including but not limited to payment for services.  You acknowledge that ShowIT Solutions makes no warranty, express or implied, as to any referral or lead that you may receive from ShowIT Solutions.   You warranty that you are qualifies and licensed to perform all services and work that you offer to any user, or user’s client of ShowIT Solutions.  You agree that ShowIT Solutions may terminate your membership and exclude you from that App at any time for any reason in ShowIT Solutions sole discretion.  You further release ShowIT Solutions, and agree to indemnify ShowIT Solutions, from any liability or claim arising out of, or in connection with, the goods and service you may provide, or offer to provide, as a third-party vendor on App or in relation to ShowIT Solutions otherwise.  

14. Gift Cards

Gift Cards may be purchased and added to your user account in the App.  To view your Gift Card balance, visit your account on the App. Purchases are deducted from your balance. Any unused balance will remain associated with your ShowIT Solutions account.  If a purchase exceeds your balance, the remaining amount must be paid with another payment method.  If not redeemed earlier, Gift Cards are valid for two years from the date of purchase.   Gift Cards may be used as payment for the goods and services offered in the App.  Gift Cards may not be used as payment to any third-party vendor.  Gift Cards are non-refundable, non-transferrable, and cannot be exchanged for cash in part or full.  Gift Cards will not be replaced if lost, stolen, or damaged.

15. ShowIT Solutions Intellectual Property and Member Content.

ShowIT Solutions shall have the appropriate license to or shall own all right, title, and interest, including all related intellectual property rights, in and to the ShowIT Solutions technology.  All materials on the Site and App (as well as the organization and layout of the Website) are owned and copyrighted or licensed by ShowIT Solutions, its corporate affiliates or its third-party vendors. No reproduction, distribution, or transmission of the copyrighted materials on the Website is permitted without the written permission of ShowIT Solutions.  Any rights not expressly granted herein are reserved.

The ShowIT Solutions platform contains areas in which you may post or upload member generated content, comments, video, photos, messages, other materials or items and you are solely responsible for such content.  By submitting such content, you agree that you will not upload, post or otherwise transmit any member Content that (a) violates or infringes in any way upon the rights of others, including any statements which may defame, harass, stalk or threaten others; (b) you know to be false, misleading or inaccurate; (c) contains blatant expressions of bigotry, racism, racially or ethnically offensive content, hate speech, abusiveness, vulgarity or profanity; (d) contains or advocates pornography or sexually explicit content, pedophilia, incest, bestiality, or that is otherwise obscene or lewd; (e) violates any law or advocates or provides instruction on dangerous, illegal, or predatory acts, or discusses illegal activities with the intent to commit them; (f) advocates violent behavior; (g) poses a reasonable threat to personal or public safety; (h) contains violent images of killing or physical abuse that appear to have been captured solely, or principally, for exploitative, prurient, or gratuitous purposes; (i) is protected by copyright, trademark, trade secret, right of publicity or other proprietary right without the express permission of the owner of such copyright, trademark, trade secret, right of publicity or other proprietary right; (j) contains any unsolicited or unauthorized advertising or promotional materials with respect to products or services, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation; or (l) uses the name or likeness of an identifiable natural person without such person’s consent.

You agree to use a professional headshot of yourself in your member profile so that other members may identify you.  You agree that ShowIt Solutions may use such headshot and likeness and grant ShowIt Solutions an irrevocable license to do such. 

SHOWIT SOLUTIONS RESERVES THE RIGHT TO REMOVE ANY MEMBER CONTENT FOR ANY REASON AT ITS SOLE DISCRETION.

You acknowledge and agree that the ShowIT Solutions Services are provided to you on an “AS IS” basis without any warranty whatsoever, and your sole and exclusive remedy, and ShowIT Solutions’ sole obligation to you or any third party for any claim arising out of your use of the ShowIT Solutions Services or the Site, is that you are free to discontinue your use of the ShowIT Solutions Services or the Site or App at any time. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, SHOWIT SOLUTIONS EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY AND ALL LIABILITY FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL (INCLUDING LOST PROFIT), EXEMPLARY OR PUNITIVE DAMAGES (EVEN IF SHOWIT SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF THIS AGREEMENT OR ANY CONSEQUENCES WHICH FLOW FROM IT. 

You further release ShowIT Solutions, and agree to indemnify it from, any liability or claim arising out of or in connection with the products and services of any third party identified though the App or Services.

18. Binding Arbitration

All claims arising out of or relating to this Agreement and the alleged acts or omissions of any or all the Parties hereunder shall be resolved by arbitration in accordance with the Federal Arbitration Act 9 U.S.C. § 1 et. seq. and the rules and procedures of the arbitration company selected to administer the arbitration. Upon making or receiving a demand for arbitration, the Parties shall work together in good faith to select a mutually acceptable arbitration company with offices in Georgia to administer and conduct the arbitration. If the Parties cannot mutually agree on an arbitration company, the company shall be selected as follows. Each Party shall simultaneously exchange with the other Party a list of three arbitration companies with offices in Georgia acceptable to that Party to administer and conduct the arbitration. If there is only one (1) arbitration company that is common to both lists, that company shall administer and conduct the arbitration. If there is more than one arbitration company that is common to both lists, the Parties shall either mutually agree on which arbitration company shall be selected or flip a coin to select the arbitration company. If there is not initially a common arbitration company on the lists, the Parties shall repeat the process by expanding their lists by two each time until there is a common name on the lists selected by the Parties. The decision of the arbitrator shall be final, and the arbitrator shall have authority to award attorneys’ fees and allocate the costs of arbitration as part of any final award. All claims shall be brought by a Party in his or her individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. Notwithstanding anything to the contrary contained herein, this agreement to arbitrate shall not apply to: (a) any claim seeking to enforce or protect, or concerning the validity of, any of ShowIT Solutions intellectual property rights; (b) any claim related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for equitable relief. In addition to the foregoing, either party may assert an individual action in small claims court for claims that are within the scope of such court’s jurisdiction in lieu of arbitration.

19. Dispute Among Members

In the event of a dispute between members as to the provision of Services or the payment for Services, members agree to resolve such issues as between themselves, not to name ShowIT Solutions as a party to such actions, and to indemnify and hold harmless ShowIT from any and all such claims. Members further agree to utilize and dispute resolution procedures provided by ShowIt Solutions and to abide by ShowIt Solutions Cancellation Policy regarding any applicable dispute regarding cancellation.  In the event of a dispute between members in which any disputed funds are in ShowIT Solutions’ possession or control, ShowIT Solutions may do any of the following: hold such funds for a reasonable period of time to allow members to resolve their dispute; make a reasonable interpretation as to whom the funds should be paid and disburse such funds accordingly; or interplead the funds into a court of competent jurisdiction, in which event ShowIT shall be reimbursed for, and made deduct from, the amount of the funds, an amount equal to its costs and expenses, including reasonable attorney’s fees.  In no event shall ShowIt Solutions be responsible for a refund. 

20. Assignment; Change in Control.

You may not assign this Agreement in whole or in part, for any reason. ShowIT Solutions may assign this Agreement or delegate any of our rights or obligations hereunder, or any part thereof, without requiring your written consent.  This Agreement will be binding upon and will inure to the benefit of the parties and their heirs, executors, administrators, successors, and assigns. 

21. Entire Agreement; Severability

These Terms and Conditions of Use are governed by the laws of the State of Georgia, U.S.A. without regard to conflicts of laws principles.
